            Thank you for visiting Refined Photo Editing at refinedphotoediting.com (called the “site”) In the following, “you/your/yours” refer the user purchasing from/using the site. “RPE/we/us/our” refer to RefinedPhotoEditing.com trademark, affiliates, and subsidiaries. RPE reserves the right to revise these terms & conditions or change the RPE/user relationship at any time. Violating any terms of this agreement will cause you to be banned from this site & service.

            You show that you agree to the terms & conditions including periodic changes by using this site, regardless of if you have reviewed them. Visiting the site constitutes your acceptance of these terms and conditions. RFE does not discriminate on the basis of age, race, national origin, gender, sexual orientation or religion.

SUBMISSIONS

            A “submission” is defined as the photographic material you submit to RFE as part of your use of our services and the material that is returned to you. Under these terms, you agree that you will NOT submit any following material

      – any threatening, defamatory, abusive, obscene, adult content, pornographic, inappropriate or profane material or any other material that could give rise to any civil or criminal liability under applicable law.

      – any photographic images  that could infringe upon the rights of privacy, publicity, copyrights or other intellectual property rights without the permission of the owner of these rights and the persons (or their parents or legal guardians, where applicable) who are shown in the material if applicable.

      – any material that promotes bigotry, racism, hatred or harm against any individual or group;

      – any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

      – any material which may provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;

INTELLECTUAL PROPERTY

            Your submissions will include exclusively material that your are legally allowed to edit, copy, or otherwise use in the way requested by RPE.

      You are exclusively responsible for the content of any images/messages you submit and RPE assumes no liability for any submission. If you provide any info or submission to RPE, you guarantee to us that you have the required legal right to post such material and that it will not violate any law or the rights of any person or entity. RPE does not check submissions for violation of copyrights, laws etc. even if we have been advised of the possibility of said violations. You are completely responsible for the transfer, storage, usage and modification of submissions being protected by copyright or any other law.

      You will defend, indemnify and hold RPE harmless for any suits or liabilities coming from any third-party claims that Submissions (or any derivative product thereof, including the product of Site’s work) has infringed upon that parties’ rights.

      You will keep a copy of the original submissions. RPE has the right to permanently delete the submission soon after completion of order. RPE is not responsible for lost submissions.

At our discretion under appropriate circumstances, RPE may terminate the accounts of users who infringe upon the intellectual property rights of others. Please email us with your information if you believe this is a concern for you.

PRICING, PAYMENT, APPROVAL & REFUNDS

            Prices set by RPE for an individual service will be honored for the items included in the service. If the scope of the work exceeds services listed in the purchased listing, you agree to pay for additional work done after being advised of any price adjustment. If you disagree, RPE reserves the right to return the submission as it meets the criteria of the service and refuse further work. You will pay for any service up front before work on the submission is begun.

            RPE currently accepts Paypal

            Any specifications and details will be discussed in the submission. RPE will meet the criteria of the services listed and return the submission via email. You have 1 limited revision to address any concerns within the scope of the service within 30 days. You show approval by not using your 1 revision within the 30 days. RPE assumes no responsibility for emails that are not seen, blocked, etc.  

            RPE charges for the time required to complete the service and thus does not offer refunds.

USE, STORAGE & EXPORT

            You agree that RPE can establish and change practices concerning, without limits, the minimum or maximum time that RPE may retain your submissions. You agree that RPE has no responsibility/liability for deletion of any submissions.

            The U.S. export control laws regulate the export and re-export of technology originating in the United States including the electronic transmission of information and software to foreign countries and to certain foreign nationals. You agree to abide by these laws and their regulations which include but are not limited to the Export Administration Act and the Arms Export Control Act. You agree not to transfer, by electronic transmission or otherwise, any Content from RPE to either a foreign national or a foreign destination in violation of such laws.

LINKS

            RPE is not held responsible for any content on sites that are linked to or from www.refinedphotoediting.com or any associated social media pages. RPE has no control over linked content on independent sites. References are for your convenience and do not imply our approval; access other content at your own risk.

DISCLAIMERS OF WARRANTY

      The service, content and/or materials available through RPE are provided on an “as is” / “as available” basis without any sort of expressed or implied warranty.  RPE makes no warranty that our service will meet your requirements or that the edited photographs will meet your expectations. To the fullest extent permitted by applicable law, RPE expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement. RPE makes no warranty that its site or services will be uninterrupted, timely, secure, or error free, or that this site or its server is free of viruses or other harmful components. RPE makes no warranty regarding any software, goods, services, special offers, or the delivery, quality, accuracy, timeliness, completeness or reliability of any software, goods or services, purchased, accessed or obtained or advertised through this site. No advice or information, whether oral or written, obtained from Refined Photo Editing or through the site/ service will create any warranty not expressly made herein.

LIMITATION OF LIABILITY

      To the fullest extent permitted by applicable law, under no circumstances shall RPE be liable for any indirect, incidental, special, punitive or consequential damages, including, but not limited to, damages for loss of profits, use, data or other intangibles, whether based on warranty, contract, tort (including negligence) or any other legal theory, even if RPE has been advised of the possibility of such damages, that result from your access to or use of, or inability to access or use, this site/services, from any changes to this site or its services, or from unauthorized access to or alteration of your submissions or data, even if a remedy set forth herein is found to have failed of its essential purpose. You specifically acknowledge that RPE is not liable for the defamatory, offensive or illegal conduct of other users or third parties and that the risk of injury from the foregoing rests entirely with you. Further, RPE will have no liability to you or to any third party for any third-party content uploaded onto or downloaded from the site or through the service. You agree that the aggregate liability of RPE to you for any and all claims arising from the use of the site or service is limited to the amounts you have paid to RPE for access to and use of the site or service. Some jurisdictions do not allow the limitation or exclusion of incidental, consequential or other types of damages, so some of the above limitations may not apply to you.

USER CONDUCT

            You agree to use RPE for exclusively lawful purposes and thus are prohibited from using RPE to post or transmit any and all  unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable material of any kind, including but not limited to any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or international law. In the event that we are notified of any allegedly infringing, defamatory, damaging, illegal, or offensive Content provided by you, we may investigate & determine in its sole discretion whether to remove / request the removal of such Content from RPE. We may disclose any Content or electronic communication of any kind to satisfy any law, regulation, or government request, to protect the rights or property of RPE and you, or if such disclosure is necessary or appropriate to operate RPE.

            We reserve the right to prohibit conduct, communication, or Content that it deems in its sole discretion to be unlawful or harmful to you, us, or any rights of RPE / any third party. Regardless, RPE cannot ensure prompt removal of questionable Content after online posting. Thus, refinedphotoediting.com, owners, and employees, do not assume any liability for any action or inaction regarding aforementioned conduct, communication, or Content.

DISPUTES

            By visiting this site, you agree that the laws of the State of Maryland, without regard to principles of conflict of laws, will govern these terms and conditions and thus any dispute of any sort that might arise between you and RPE or its affiliates and subsidiaries. Disputes relating in any way to your visit to refinedphotoediting.com or the services purchased through RPE shall be submitted to confidential arbitration in Baltimore, Maryland, except that, to the extent you have in any manner violated or threatened to violate Refined Photo Editing’s intellectual property rights, Refined Photo Editing may seek injunctive or other appropriate relief in any state or federal court in the State of Maryland, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this Agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

ACKNOWLEDGEMENT

            You acknowledge that you have read this agreement, understand it, and had an opportunity to seek independent legal advice prior to agreeing to it. In consideration of RPE agreeing to provide the content, you agree to be bound by the terms and conditions of this agreement. You further agree that it is the complete and exclusive statement of the agreement between you and RPE, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and RPE relating to the subject of this agreement.
